B2B Terms and Conditions – Subscrify

Welcome to Subscrify (“we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your business use of the Subscrify platform (“Platform”), including all purchases, sales, subscriptions, and related services.

By creating a business account or transacting through Subscrify, you (“Partner,” “Vendor,” “Distributor,” “Buyer,” or “you”) agree to comply with these Terms.

1. Eligibility and Account Registration

  • You must be a legally registered business entity capable of entering binding commercial contracts.

  • Business users must provide valid business identification, GST details, and authorized contact information.

  • You are responsible for maintaining the confidentiality of your account credentials.

  • Misuse or sharing of business accounts may result in suspension or termination.

2. Business Use of Platform

Subscrify may be used for:

  • Purchasing products in bulk or under subscription models.

  • Listing or selling your own products (if you are a vendor/partner).

  • Managing subscription-based offerings.

You agree not to use the Platform for fraudulent, illegal, or competitive data scraping purposes.

3. Orders, Pricing, and Payments

  • All orders are subject to acceptance and availability.

  • Prices are quoted exclusive of taxes unless otherwise mentioned.

  • Payments must be made via approved payment gateways, and invoices are generated automatically.

  • For subscription services, recurring payments will be charged as per the chosen plan.

  • Subscrify reserves the right to modify pricing or discontinue products with prior notice.

4. Shipping, Delivery, and Risk

  • Delivery timelines are estimates and subject to logistics constraints.

  • Risk of loss or damage passes to the buyer upon delivery.

  • Subscrify is not liable for delays due to third-party carriers, customs, or unforeseen circumstances.

5. Returns, Refunds, and Cancellations

  • Returns or refunds are accepted only for defective or damaged goods, subject to verification.

  • B2B transactions may be non-refundable, unless otherwise agreed in writing.

  • Subscription cancellations take effect from the next billing cycle.

6. Representations and Warranties

Each business user represents that:

  • They are duly authorized to act on behalf of the registered entity.

  • Information provided is accurate and lawful.

  • Products listed (if applicable) comply with all relevant laws, standards, and safety norms.

Subscrify provides services “as-is” and makes no warranties, express or implied, regarding merchantability or fitness for purpose.

7. Intellectual Property

All content, technology, trademarks, and software on Subscrify are owned or licensed by us.
You may not copy, distribute, reverse engineer, or use them beyond your commercial transactions.

8. Confidentiality

Both parties agree to maintain confidentiality regarding all non-public business, pricing, or user information exchanged during the course of business.
This obligation survives termination.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Subscrify shall not be liable for indirect, incidental, or consequential damages.

  • Total liability shall not exceed the total transaction value or INR [insert limit], whichever is lower.

10. Indemnity

You agree to indemnify and hold harmless Subscrify, its affiliates, and employees against any claims, losses, or damages arising from your breach of these Terms, misuse of the Platform, or violation of law.

11. Termination

We may suspend or terminate your business account if:

  • You violate these Terms.

  • Engage in fraudulent or non-compliant activities.

  • Fail to make timely payments.

Termination does not affect accrued rights or obligations.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts of [Your City/State].

Subscrify reserves the right to amend these Terms at any time.
